Justin Kline has specialized in the practice of business and commercial law throughout his entire legal career. He began his practice of law in 2003 with the international law firm of Sidley Austin LLP, as an associate in the firm's Corporate and Finance Group in downtown Los Angeles. After leaving Sidley Austin in April of 2009, Mr. Kline opened his current office in the Santa Clarita Valley in order to offer practical and cost-effective legal solutions to local businesses and entrepreneurs as they continue to drive the region's economic development.
Mr. Kline's legal experience has included primary responsibility for handling all legal aspects of a broad range of business transactions, with individual deal values ranging from tens of thousands to several million dollars. These transactions have included acquisition, bridge and project finance transactions, commercial real property and equipment leases, secured debt restructuring, private equity investments, commercial joint ventures, private company sales, corporate recapitalization, executive employment matters, employee incentive stock programs and settlements of contractual disputes.
Particular career highlights include:
- Representation of lenders in connection with multi-million dollar project and equipment financings for casinos located throughout the United States, including the Mississippi Gulf Coast;
- Representation of equity sponsors as borrowers and guarantors in connection with acquisition financings for various manufacturing concerns;
- Representation of biofuels production corporation in connection with acquisition and related bridge financings;
- Representation of commercial lenders in connection with the restructuring and administration of distressed secured loans, including the exercise of collateral remedies;
- Representation of accredited investors in connection with numerous multi-million dollar equity investments in both public and private companies; and
- Representation of employers in connection with the creation and administration of incentive stock programs for key employees.
