COMMERCIAL FINANCE

Mr. Kline has represented numerous commercial borrowers, guarantors, and lenders, as well as equity issuers and investors, in connection with financing for a broad range of commercial ventures. His significant experience with handling both debt and equity finance transactions has included:

DEBT FINANCING

• Negotiating and documenting secured bank loans made to fund acquisitions of existing businesses
• Negotiating and documenting both secured loans and unsecured loans made to fund long-term and short-term working capital needs
• Negotiating and documenting the restructuring of outstanding secured commercial debt
• Drafting and negotiating lender consents to significant transactions entered into by commercial borrowers and guarantors
• Negotiating waivers and forbearance agreements with respect to defaults by borrowers and guarantors of commercial loans
• Advising secured lenders in connection with the exercise of collateral remedies
• Preparing payoff letters and lien releases upon repayment-in-full of secured commercial loans
• Negotiating the terms of seller notes issued in connection with the sale of a business

EQUITY FINANCING

• Negotiating and documenting the offering and sale of equity interests and warrants by numerous private companies
• Representing both issuers and investors in connection with public stock offerings, including IPOs
• Representing the sole investor during the negotiation and closing of a $60 million PIPE offering by a real estate investment trust
